Radware Ltd. Announces Pricing of Public Offering

Radware Ltd. (Nasdaq: RDWR - news), a provider of Internet traffic management (ITM) solutions enabling continuous access to Web sites, IP applications and content, today announced that the public offering of 2,500,000 of its Ordinary Shares was priced at $51.75 per share. Of the shares being offered, 1,250,000 shares are being offered by Radware and 1,250,000 shares are being offered by selling shareholders. The selling shareholders have granted the underwriters an option to purchase up to 375,000 additional ordinary shares at the public offering price to cover over-allotments. The total net proceeds to Radware from the offering, after deducting the underwriting discount and estimated expenses, is expected to be $60.2 million. Radware will not receive any of the proceeds from the sale of ordinary shares by the selling shareholders.
